Founding Clubs terms

Version 2026-08-29.1. These terms apply to a Club that accepts them while this version is the one published on this page. The version identifier changes whenever any word of this document changes, so the version a Club accepted always names one exact text.
“Zeil” means Zeil Software LLC, a New Jersey limited liability company, 500 Paterson Plank Rd # 31479, Union City, NJ 07087, legal@zeilapp.com.
“Club” means the organization on whose behalf these terms are accepted.
“Founding Club” means a Club that has accepted these terms and to which Zeil has confirmed a Founding Club number under Section 2.
1. What this is
Zeil is offering Founding Clubs terms to the first 25 US clubs that accept them and receive a confirmed number. The offer is: a 24 month lock on today’s list price, free white-glove migration and onboarding, a seat on the Founding Council, early access to every beta, and a direct line to the founder. In return the Club agrees to be a reference, to sit for one case study, and to give Zeil structured feedback.
This is not a percentage discount. Section 8 says so plainly, and says what the two price concessions actually are.
2. How the Club accepts, and how Zeil accepts
2.1 The Club accepts by clicking. The Club accepts these terms by checking the box presented with them and completing the step it appears on. That click has the same legal effect as a signature on a paper agreement.
2.2 Who may click. The person accepting represents that they are authorized to bind the Club to a 24 month price commitment and to the reference obligations in Section 11, and that the Club’s own approval requirements for entering an agreement of this kind have been met. Zeil records the accepting person’s name, title, and email alongside the acceptance.
2.3 What Zeil records. At the moment of acceptance Zeil records the version identifier of these terms, the full text of that version, the accepting person’s name, title, and email, the Club, and the date and time. The Club can request a copy of its own acceptance record at any time by writing to legal@zeilapp.com.
2.4 Zeil’s acceptance, and the cap. The Club’s click is an offer to Zeil, not a completed agreement. These terms take effect only when Zeil confirms the Club’s Founding Club number in writing to the accepting person’s email address. That confirmation is Zeil’s acceptance and its date is the Effective Date. Numbers are assigned in the order Zeil confirms them, and Zeil will not confirm more than 25. If the Club accepts after the 25 numbers are gone, Zeil will say so and the Club’s subscription continues on Zeil’s standard terms with nothing owed under this document.
2.5 If the Club prefers to sign. A Club whose board requires a signed agreement can ask for the same terms as a countersigned Order at legal@zeilapp.com.
3. Subscription and first charge
The Club subscribes on the plan it selects: Starter $99, Racing $199, Club Pro $349, or Marina+ $599 per month, month to month, in US dollars. The first charge falls after the Club’s 60 day trial ends.
Payment is by card or ACH through Stripe when the Club subscribes in the app. If in-app subscription is not available to the Club at the time it accepts these terms, Zeil invoices the Club directly on exactly the terms stated here, and the Club moves to in-app billing when it can.
4. Racing plan: $99 until the racing beta is delivered
A Founding Club on the Racing plan bills at $99 per month until Zeil delivers the race scoring beta to that Club. Its locked list price of $199 per month begins the month after delivery. The beta target is 2026-10-15. Zeil does not charge the Racing rate for a racing module that is not in the Club’s hands.
5. Price lock
The Club’s plan price is fixed for 24 months from the Club’s first charge under Section 3. For a Racing plan Founding Club that means 24 months from the $99 first charge, not from the later date the $199 rate begins.
The lock protects the Club against future list price increases. It does not mark down today’s price.
6. Trial, migration, and onboarding
The Club gets Zeil’s standard 60 day full-featured trial, whether it has already been used or is running now. Zeil imports the Club’s roster, boats, certifications, and history from a spreadsheet or from the Club’s current tool, configures the club, and runs two live training sessions. Migration is a service performed by Zeil’s team, not an automated import, and it is included at no charge.
7. Optional annual prepay
A Founding Club may instead pay 12 months up front at 10 months’ rate: Starter $990, Racing $1,990, Club Pro $3,490, Marina+ $5,990. This option is available to at most 10 of the 25 Founding Clubs, on a first come basis, and it does not stack with anything else.
A Racing plan Founding Club cannot take the annual prepay before its race scoring beta has been delivered. Section 4 bills that Club at $99 per month until delivery, and a full rate prepay before delivery would take that back.
The annual prepay renews every 12 months at the same amount, unless the Club cancels before the renewal date. The Section 5 price lock applies to it as it does to a monthly plan.
Annual prepay is taken in Zeil’s in-app checkout, from the Club’s billing page. A Club that would rather arrange it directly can still write to legal@zeilapp.com.
8. What Founding Clubs terms are not
No percentage discount on the monthly list price, beyond the Racing plan mechanic in Section 4 and the annual prepay in Section 7. No free months beyond the standard 60 day trial. No custom feature commitments to a single club. No exclusivity of any kind.
9. Roadmap transparency
Exhibit A lists what is live in Zeil at the version date stated in its heading, and what is in development with target dates. Target dates are good faith commitments, not warranties and not contractual delivery dates. Zeil will notify the Club of material roadmap changes within 10 business days. No payment obligation under these terms depends on any roadmap item, except the Racing plan pricing step in Section 4.
10. Data
The Club owns its data. Individual members can download a copy of their own account and activity data from their profile at any time. A full club-level export is a service Zeil performs, not a self-service feature: the Club asks at legal@zeilapp.com and Zeil delivers the Club’s data in a commonly used machine-readable format within 10 business days, as often as the Club reasonably needs it during the subscription. On termination, export remains available on those same terms for 60 days, and Zeil deletes Club data within 90 days after that export window closes. Zeil never sells member data.
11. Founding benefits and Club commitments
Exhibit B sets out what Zeil provides to a Founding Club and what the Club provides in return. Both are obligations under these terms.
12. Term and termination
Month to month. Either party may terminate on 30 days’ written notice to the other at the notice addresses in Section 15. Founding benefits and the Club’s reference obligations in Exhibit B end at termination. Case studies already published survive with the approvals the Club previously gave.
13. Governing terms
13.1 The Zeil Terms of Service, Version 2026-08-19.2, and the Zeil Privacy Policy, Version 2026-08-19.1, apply and are incorporated into these terms in the form identified here. A revision to either document applies to the Club only in accordance with Terms of Service Section 17.
13.2 These Founding Clubs Terms control over those documents for the pricing and the terms stated here.
13.3 By accepting these terms the Club also executes the Zeil Data Processing Addendum, in the version published there on the Effective Date, and that acceptance is the Club’s execution of it.
14. Changes to these terms
Zeil may publish a new version of these terms. A new version applies to Clubs that accept it. A Founding Club that has already accepted an earlier version keeps the version it accepted, and Zeil will not move it to a new version without the Club’s written agreement.
